Terms of Service

1. Acceptance of Terms
By accessing or using Passportly ("the Platform"), operated by Passportly Pty Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Description of Service
Passportly provides a SaaS platform for creating EU-compliant Digital Product Passports (DPPs), calculating French Environmental Cost scores via the Ecobalyse API, verifying certifications, and integrating with e-commerce platforms including WooCommerce and PrestaShop.
3. Account Registration
You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each account is tied to a single organisation.
4. Subscription Plans and Payment
The Platform offers Free, Growth, and Scale subscription tiers. Paid subscriptions are billed monthly via Stripe. Prices are listed in EUR, USD, GBP, and AUD. You authorise us to charge your payment method on a recurring basis. You may cancel at any time through the Stripe billing portal; cancellation takes effect at the end of the current billing period.
5. Usage Limits
Each subscription tier includes a maximum number of published DPPs and specific feature access. Exceeding your plan limits requires an upgrade. We reserve the right to modify tier limits with 30 days' notice.
6. Your Data
You retain ownership of all product data, DPP content, and materials you upload to the Platform. You grant us a limited licence to host, display, and process your data solely for the purpose of providing the service.
7. Compliance Disclaimer
The Platform assists with EU regulatory compliance but does not guarantee compliance. You are solely responsible for the accuracy and completeness of data entered into your DPPs. Environmental Cost scores are calculated via the French government's Ecobalyse API; we do not control or guarantee the accuracy of that API. Certificate verification results are provided as-is from external databases.
8. Hosted DPP Pages
Published DPP pages are hosted at URLs on our domain. We endeavour to maintain 99.9% uptime but do not guarantee uninterrupted service. Free tier pages display Passportly branding; paid tiers may customise or remove platform branding.
9. API Usage
API access is subject to rate limits and is available only on eligible subscription tiers. API keys must be kept confidential. We may suspend API access for abuse or excessive usage.
10. Prohibited Uses
You may not: (a) use the Platform for fraudulent or illegal purposes; (b) submit false or misleading product data; (c) attempt to circumvent usage limits or security measures; (d) redistribute Platform content or APIs without authorisation.
11. Termination
We may suspend or terminate your account for violation of these terms. Upon termination, your data will be retained for 30 days before deletion, unless you request immediate deletion under GDPR.
12. Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the amount you have paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of revenue or regulatory penalties.
13. Changes to Terms
We may update these terms with 30 days' notice via email. Continued use after changes take effect constitutes acceptance.
14. Governing Law
These terms are governed by the laws of the European Union and the jurisdiction of the courts in the relevant member state where our EU operations are based.
